Terms of Service

These Terms of Service ("Terms") govern your use of InsiteChat.ai ("Service"), operated by Nitish Yadav ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • One person or entity may not maintain more than one free account.

2. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Upload malicious content, malware, or spam
  • Impersonate others or misrepresent your identity
  • Attempt to access other users' data or accounts
  • Scrape, crawl, or reverse-engineer the Service
  • Use the Service to generate harmful, abusive, or misleading content
  • Exceed rate limits or abuse the API
  • Resell or redistribute the Service without our permission

3. Content and Data

3.1 Your Content

You retain ownership of all content you upload, submit, or import to the Service ("Your Content"). By using the Service, you grant us a limited license to process, store, and use Your Content solely to provide and improve the Service.

3.2 Chatbot Responses

AI-generated responses are based on Your Content and are provided "as is." We do not guarantee the accuracy, completeness, or appropriateness of chatbot responses. You are responsible for reviewing and monitoring your chatbot's output.

3.3 Third-Party Content

When you import content from Google Drive, Notion, Dropbox, or other sources, you represent that you have the right to use that content for chatbot training. We are not responsible for content you import from third-party sources.

4. Plans and Billing

4.1 Free Plan

The Free plan provides limited access to the Service at no cost. We reserve the right to modify Free plan limits at any time.

4.2 Paid Plans

  • Paid plans are billed monthly in advance via Razorpay.
  • All prices are in USD (displayed) / INR (charged). Exchange rates may vary.
  • You can upgrade, downgrade, or cancel your plan at any time.
  • Downgrades take effect at the end of the current billing period.

4.3 Trial Period

New accounts receive a 14-day free trial on the Starter plan. No credit card is required. After the trial ends, your account downgrades to the Free plan unless you subscribe to a paid plan.

6. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service.
  • We may perform maintenance with or without notice.
  • We are not liable for downtime caused by third-party providers (cloud hosting, AI model providers, payment processors).

7. Intellectual Property

  • The Service, including its design, code, and branding, is our intellectual property.
  • You may not copy, modify, or distribute any part of the Service.
  • "InsiteChat" and the InsiteChat logo are our trademarks.
  • Your Content remains your intellectual property.

8. API Usage

If you use our Developer API:

  • API access is subject to your plan's rate limits.
  • API keys are confidential — do not share them publicly.
  • We may revoke API access for abuse or violation of these Terms.
  • You must not use the API to build a competing product.

9. Referral Program

  • Referral commissions are 20% recurring on referred users' payments.
  • Self-referrals, fake accounts, or fraudulent referrals will result in forfeiture of commissions and account termination.
  • We reserve the right to modify or terminate the referral program at any time.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSITECHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • You may delete your account at any time.
  • We may suspend or terminate your account for violation of these Terms.
  • Upon termination, your data will be deleted within 30 days.
  • Sections on liability, indemnification, and intellectual property survive termination.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of India.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the website. Continued use after changes constitutes acceptance.
